1. Acceptance of Terms

These Terms of Service ('Terms') govern your use of the axisspace.com website and the coworking, private office, meeting room, day pass, and virtual office services provided by Axis Space ('we,' 'us,' or 'our'). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Description of Services

Axis Space provides flexible workspace solutions at 333 Las Olas Way, Fort Lauderdale, FL 33301, including private offices, coworking memberships, meeting room rentals, day passes, and virtual office services. Specific features, availability, and pricing may vary and are described on our website or in your membership agreement.

3. Eligibility and Accounts

You must be at least 16 years old to use our services. When you create an account or purchase a membership, you agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Memberships and Reservations

Membership plans and their associated fees, terms, and amenities are described on our website and in your membership agreement. Meeting rooms and day passes may be reserved subject to availability. We reserve the right to modify pricing, plans, and amenities at any time, with changes to existing memberships taking effect at the next renewal cycle.

5. Payment and Billing

All fees are stated in U.S. dollars and are subject to applicable taxes, including the 7% local sales tax. Memberships are billed on a recurring basis as specified in your plan. A one-time setup fee and a refundable security deposit may apply to certain plans. Refunds are issued in accordance with our cancellation policy.

If a payment fails, we may suspend access to our services until payment is resolved. You are responsible for all charges incurred under your account.

6. Use of Facilities and Workspace

You agree to use our facilities in a respectful and lawful manner, in accordance with all posted rules and the instructions of Axis Space staff. Certain amenities, including the fitness facility, pool deck, and wellness room, are available during business hours and may be subject to time limits.

Part-Time memberships include access Monday through Friday, 8:30am to 5pm. Flex Desk and Dedicated Desk memberships include 24/7 building access. Access policies are subject to change.

7. Acceptable Use Policy

You agree not to use our services or facilities for any unlawful, harmful, fraudulent, infringing, or harassing purpose, or in any manner that could damage, disable, or impair our facilities or the experience of other members. Prohibited conduct includes, but is not limited to, unauthorized commercial use, disrupting other members, and violating the rights of others.

We reserve the right to suspend or terminate access for any violation of these Terms.

8. Meeting Room and Day Pass Bookings

Meeting rooms are available by the hour or full day and can be booked subject to availability. Day passes grant access to coworking and Business Resort amenities for a single day. All rates are subject to 7% tax. Cancellations and rescheduling are subject to our booking policy in effect at the time of reservation.

9. Security Deposits

Certain membership plans require a security deposit equal to one month's fee. Deposits are fully refundable upon cancellation, less any amounts owed for damages, unpaid fees, or other charges. Axis Space reserves the right to withhold from the deposit to cover the cost of repairing any damage to our property caused by the member or their guests.

10. Intellectual Property

All content on axisspace.com, including text, graphics, logos, and images, is the property of Axis Space or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

11. Disclaimers

Our services are provided 'as is' and 'as available' without warranties of any kind, whether express or implied. We do not guarantee that our services will be uninterrupted, error-free, or secure. We are not responsible for loss or damage to personal property brought to our facilities.

12. Limitation of Liability

To the fullest extent permitted by law, Axis Space shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or facilities. Our total liability for any claim shall not exceed the amount you have paid us in the preceding twelve (12) months.

13. Indemnification

You agree to indemnify and hold Axis Space harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall be resolved in the state or federal courts located in Broward County, Florida.

15. Termination

You may cancel your membership in accordance with your plan's cancellation terms. We reserve the right to suspend or terminate your access to our services at any time, with or without cause, including for violations of these Terms or unpaid balances.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the 'Last updated' date at the top of this page. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
